David Ellis is in-house Tax Consultant to Janas Associates and Janas Consulting. He has more than 30-years experience as a Certified Public Accountant, management consultant, and income tax advisor. David focuses part of his practice on income tax planning so that corporate transactions are structured to achieve favorable income tax advantages. He has distinguished himself as a mediator and an arbitrator for more than a decade.

David manages, reviews and prepares all elements of tax compliance for corporations, partnerships, limited liability companies, individuals and fiduciary entities. He serves clients directly through Ellis & Ellis Certified Public Accountants, Inc.

Part of his focus at Janas is to provide guidance and advice to Janas professionals with respect to the income tax implications of transactions contemplated by Janas clients. The structure of the sale or acquisition of a company or companies will have a material impact on both short-term and long-term income tax consequences to both buyers and sellers. His long association with Janas has made him particularly knowledgeable with respect to mergers and acquisitions.

Another area of focus for David was illustrated in informal advice to a Janas Consulting client who faced the potential of ‘phantom income’ from debt forgiveness. He described why the apparent problem was a non-issue under certain, specific defined circumstances.

David has served as a management consultant, engaged in corporate finance and investment banking operations for closely held companies. He regularly interacts with lawyers, other Certified Public Accountants, investment bankers, and private equity funds and private investors in connection with mergers and acquisitions and corporate finance related projects.

He is a Certified Public Accountant in California and is licensed to practice.

David holds a BA from the University of Southern California and a BA equivalent in Accounting from California State University Los Angeles.
