Janas Associates is a professional firm that provides Investment Banking and Consulting services to clients, many of whom are located in the Peoples Republic of China. Our China-based clients include companies engaged in polyester and nylon manufacturing, concrete production, high-tech software, packaging, agriculture and other businesses. R. Carter Freeman, CMC, Chairman

R. Carter Freeman is the Chairman of Janas Associates and a Certified Management Consultant. He has more than 35-years experience advising clients in mergers and acquisitions, corporate finance and strategic consulting. He has organized and led teams of professionals to prepare economic feasibility studies, provide financing and negotiate merger & acquisition transactions for projects in the Peoples Republic of China, Korea, Taiwan, Singapore, Indonesia, Australia and Malaysia.

He has provided investment banking and consulting services to companies of various types and sizes in the United States, Europe and the Pacific Rim. His services are particularly valuable because of his wide range of experience and his ability to 'ask the right questions to find appropriate answers.'

Carter is listed in Who's Who in America. He holds a BBA degree from Emory University, Atlanta. He is a member of the Institute of Management Consultants from whom he received the Certified Management Consultant (CMC) designation in 1973. He served on the IMC Board of Directors and as Treasurer. Carter is also a Certified Public Accountant.

Kern Kwong, Ph.D., Managing Director

Dr. Kern Kwong is a Managing Director of Janas Associates. Dr. Kwong consults extensively in the United States and Asian Pacific countries; he has done consulting projects for Saudi Aramco, Southern California Edison, Goldlion Holdings (U.S.A) and other domestic and international firms. He is currently doing merger & acquisition and corporate finance deals for Snail Game, Shenyang Maryland, Beijing Dianba and Kaiping Polyester, all located in the Peoples Republic of China.

Dr. Kwong is a tenured full professor and former chairman of the College of Business and Economics at California State University, Los Angeles and director of the Asian Pacific Business Institute.

Kwan Siu Man, Dorman, Managing Partner of China Northeast Region

Dorman received a Bachelors Degree in Business Administration from the Chinese University of Hong Kong. He joined PricewaterhouseCoopers Hong Kong and was transfered to PwC Beijing in 1996 and to PwC Dalian in 2002 as the managing partner of the Northeast Region of China. Since 1988, Dorman had delivered various auditing, restructuring and domestic investment services to clients in China. His client portfolio ranges from Hong Kong and PRC domestic companies to multi-national corporations in various industries. Dorman had served many prestigious enterprises including Harbin Pharmaceutical, Legend Computers, China Netcom, China Aviation, Shenyang Wanshunda/China Sun Biotech, Tianjin Zhong Xin Pharmaceutical, China Eastern Airlines, Hubei Huaxin Cement, Shenzhen Yili Mineral Water, Shanghai No.2 Textile Machinery and Wafangdian Bearings. He had also served multi-national corporations such as Alcoa, Kerry Group/ Shangri-La Hotels, Toyota, Ford Motor, Goodyear Tire, Ericsson and Bechtel.

Dorman understands PRC, Hong Kong and International Accounting Standards and listing regulations. Dorman is a Fellow of the Association of Chartered Certified Accountants and a member of the Chinese Institute of Certified Public Accountants.

Ying Li, Associate

Ying Li's practice focuses primarily on China-related M&A and reorganizations, general corporate, and commercial matters covering a wide variety of industries. He has advised multinational companies extensively on cross-border transactions in the forms of Chinese foreign joint ventures, wholly foreign-owned enterprises, partnerships, technology transfer, and technical assistance. He has frequently spoken regarding PRC M&A at seminars and conferences.

From 1987 to 1990, Ying was a lecturer on international law, international organizations, and commercial law at the People's University of China Law School and was a visiting scholar at Harvard Law School from 1990 to 1991.

He is author of Mergers and Acquisitions, China Company Law Guide, CCH, May 2004. His education includes Peking University (LL.B. 1984; LL.M. 1987) and Harvard University (J.D. 1994).
